Acuative definition

Acuative and references to it as a “Party” means Acuative, its Affiliates, and its and their employees, directors, officers, agents, representatives, subcontractors, Providers and suppliers and (b) “Customer” and references to it as a “Party”, means Customer, its Affiliates, and its and their respective employees, directors, officers, agents, and representatives.

  • Except as otherwise provided for in a Service Order, (a) the Rates and Charges for Services are the Rates and Charges applicable as of the effective date of such specific Services and (b) and after the initial Term the Rates and Charges may be changed by Acuative at its discretion, provided, that Customer shall be given prior written notice of any such change.

  • Acuative does not have any control over Provider maintenance schedule.

  • In the event of new ownership, the new owners could assume payment for Services for the remaining contract term by entering into a new agreement with Acuative for a minimum of the remaining contracted term.

  • If Customer fails to pay any undisputed and overdue amount within ten (10) days of written notice from Acuative requesting payment, Customer shall also pay all of Acuative’s reasonable costs of collection, including but not limited to reasonable attorney’s fees.

  • Customer is liable and accountable for any activity originating from Customer’s use of Services provided by Acuative and that are deemed to be in violation of this AUP.

  • Acuative shall use commercially reasonable efforts to accurately and promptly ▇▇▇▇ Customer for the Rates and Charges applicable to Services and other related charges, including, without limitation, applicable surcharges and taxes.

  • It is Customer’s responsibility to notify Acuative of any cancellation or termination of Services in writing.

Related to Acuative

  • Evacuation means the authorized or ordered departure from post of an employee or dependent(s), or any of the circumstances outlined in Section 610j herein. The terms "evacuated" and "ordered/authorized to depart" are used interchangeably in these regulations.

  • Pandemic means any outbreaks, epidemics or pandemics relating to SARS-CoV-2 or Covid-19, or any variants, evolutions or mutations thereof, or any other viruses (including influenza), and the governmental and other responses thereto.

  • Progressive discipline means a process of applying and documenting disciplinary actions progressing from less to more serious depending on the employee’s history and the nature of the offense.
