Actual Laytime definition

Actual Laytime means the period of time (in hours) used in unloading an LNG Vessel, which commences at the commencement of Allowed Laytime under Clause 7.5.1 and shall continue to run until the FSRU’s unloading hoses and vapour return line are disconnected from the LNG Vessel, and the LNG Vessel is cleared for departure.

Actual Laytime as defined in Paragraph 8.3 of Part A of Schedule 4; Adverse Weather Conditions: weather or sea conditions actually experienced at or near the Corpus Christi Facility (or Alternate Production Facility, as applicable) that are sufficiently severe: (i) to prevent an LNG Tanker from proceeding to berth, or loading or departing from berth, in accordance with one or more of the following: (a) regulations published by a Governmental Authority; (b) an Approval; or (c) an order of a Pilot; (ii) to cause an actual determination by the master of an LNG Tanker that it is unsafe for such LNG Tanker to berth, load, or depart from berth; or (iii) to prevent or severely limit the production capability of the Corpus Christi Facility (or Alternate Production Facility, as applicable); Affiliate: with respect to any Person, any other Person which directly or indirectly through one or more intermediaries controls, is controlled by or is under common control with such Person; for purposes of this definition, “control” (including, with correlative meanings, the terms “controlled by” and “under common control with”) means the direct or indirect ownership of more than fifty percent (50%) of the voting rights in a Person or the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of a Person, whether through the ownership of voting securities or otherwise; Agreement: this agreement, including the Schedules and Exhibits hereto, as the same may be amended, modified or replaced from time to time;

Examples of Actual Laytime in a sentence

  • In the event both Terminal Operator and Shipper are partly responsible for causing the Actual Laytime to exceed the Allowed Laytime in loading an LNG Ship, each Party shall pay the Demurrage Rate pro rata its portion of responsibility.

  • In the event Shipper causes the Actual Laytime to exceed the Allowed Laytime, Shipper shall pay, subject to GC 11.1.4 and GC 11.2.2, demurrage actually incurred by Terminal Operator for the next LNG Ship due to berth at the LNG Terminal at the Demurrage Rate (pro-rated for any portion of a Day).
