Actively Pursuing definition

Actively Pursuing means, with respect to any Opportunity, actively soliciting, negotiating with, entering into agreements with, or otherwise consummating transactions with, a third Person (or its agents or representatives) with the intent or for the purposes of actively Exploiting such Opportunity. For purposes of this Agreement, (a) if an Opportunity involves a transaction with a third Person (other than an Acquisition), then a party shall not be deemed to be Actively Pursuing such Opportunity until it (or its agents or representatives) has directly engaged in discussions related to such Opportunity with such third Person (or its agents or representatives) and (b) if an Opportunity is an Acquisition, then a party shall not be deemed to be Actively Pursuing such Opportunity until it (or its agents or representatives) or such third Person (or such third Person’s agents or representatives) has commenced substantive due diligence with respect to such Opportunity involving information of such third Person or it, respectively, that is not publicly available.
Actively Pursuing means that a proposal to invest in a product managed by Partners Group has been made to a US federal, state or local government agency and has yet to be accepted or declined by such an agency.
Actively Pursuing means that the management of one or more of the GST Companies is actively considering the opportunity, regardless of whether specific bids have been submitted, and the GST Companies have expended not less than $100,000 in connection with such opportunity. 6.2.4 For purposes of this Section 6.2, "Compete" means any one or more of the following: (i) designing, developing, constructing or operating alternate access or other telecommunications networks, providing long distance or other telecommunications services, (ii) engaging in any other business engaged in by any of the GST Companies or their affiliates, or (iii) engaging in any other business engaged in by any entity in which the GST Companies, or any of them, are partners or joint venturers. 6.3

  • Competitive Activities means any business activities in which the Company or any other member of the Company Group engage (or have committed plans to engage) during the Term of Employment, or, following termination of Employee’s employment hereunder, was engaged in business (or had committed plans to engage) at the time of such termination of employment.

  • Person living as a spouse means a person who is living or has lived with the offender in a common law marital relationship, who otherwise is cohabiting with the offender, or who otherwise has cohabited with the offender within five years prior to the date of the alleged commission of the act in question.
