During the Term, StarMedia shall have the right to procure new wireless Internet applications that have been developed by the Company and/or BSI for StarMedia's use in its other properties outside of the Active Territory, provided the Company or BSI decides to commercialize such wireless Internet applications and further provided that in no event will any Company Competitors be permitted to derive any benefit from access to such applications, directly or indirectly, from or through StarMedia.
Moreover, in the event that this Agreement is terminated for any reason, StarMedia may terminate the Operating Agreements except where and to the extent that the Active Territory is any portion of Brazil and in the event of such termination shall provide a six (6) month wind-down of the MAP Service as provided in Section 12.5 hereof.
If ▇▇▇▇▇▇▇ provides a Non-Pursuit Notice with respect to an Active Territory, then, as of the effective date of such notice: (i) the Parties shall have no further obligations under this Section 2.2 with respect to such Active Territory or under the Transition Services Agreement with respect to Registrations in such Active Territory; and (ii) the Transfer-Ready Date and Transfer Date shall be deemed to have occurred for such Active Territory.
For the avoidance of doubt, Quidel may still elect to support ▇▇▇▇▇▇▇ and its Affiliates in such Active Territory, including in the distribution of the Q-B Product and ▇▇▇▇▇▇▇’▇ efforts to obtain Registration, but shall have no further obligation to do so.
Notwithstanding the foregoing, if a Designated Quidel Contract applies to more than one Active Territory, the Transition Date applicable to such Designated Quidel Contract shall be the last-to-occur of the Transition Dates for the Active Territories to which such Designated Quidel Contract applies, except as otherwise agreed by the Parties in writing.
Prior to the Transfer Date for an Active Territory, ▇▇▇▇▇▇▇, may in its sole discretion, provide written notice to Quidel that ▇▇▇▇▇▇▇ no longer wishes to pursue the activities under this Section 2.2 with respect to such Active Territory (each, a “Non-Pursuit Notice”).

The Parties shall confirm in writing the occurrence of each Transfer Date, and any Transactions or related actions that are effective on a Transfer Date shall be effective as of 12:01 a.m. in the applicable Active Territory (and the geographic location designated by the Parties if there is more than one time zone in the Active Territory) on such Transfer Date.
Each Participating Affiliate may, at its option, include its own branding in the MAP Service provided in such Participating Affiliate's Active Territory.
If the Transition Date has not occurred on or before the Transition Deadline for any Active Territory, then the Parties shall address and negotiate in good faith and mutually agree upon a reasonable extension, work-around or alternative solution, which may include a decision to deliver a Non-Pursuit Notice.
