ACS Services Agreement: the ACS Services Agreement between the Company and ACS Wireless, Inc.
In addition to the Service hours set out in your order to perform the ACS Services as set out in section A.2 directly below, Oracle will, if deemed necessary, perform an ACS Review (as defined below) of Your Oracle NetSuite instance within the first month (“ACS Review period”) of the commencement of Services, with the determination of hours necessary to perform an ACS Review being solely in the discretion of Oracle.
Company understands and agrees that ACS is engaged in activities which make it crucial for ACS to develop and retain trade secrets, donor lists, proprietary techniques, information regarding its employees, donors, volunteers and recipients of ACS Services (“Constituents”) including personal health information and other confidential information and acknowledges that Company may develop and learn such information in the course of this Agreement.
Upon request, ACS will counsel Member on currently available Services that could be used to meet one or more of Member’s public safety needs and if requested, ACS will assist Member in defining ACS Services to meet, one or more, specific public safety needs.
The pricing provisions set out in this Agreement for ACS Services will be in effect for a period of 180 days from the Commencement Date.
For any conflicts that arise between Agreement, Invoice, other contracts, other interlocal agreements, or external covenants involving ACS Services, whether directly or indirectly provided to Member, Agreement will prevail.
The Sales Channel Margin shall be equal to the difference between the hourly charge payable by Sideware Clients to Sideware for ACS Services and the hourly charge payable to ACS (as set out in section 4.01, or as otherwise determined or adjusted pursuant to this Agreement).
ACS shall not be responsible for any obligation to perform Services to the extent it does not fall within the scope of the ACS Services and the use of the term "VENDOR CONSORTIUM" is not intended to imply otherwise.
Without limiting the generality of the foregoing, Sideware and ACS shall both be satisfied that ACS can practicably perform the ACS Services, and that provision of such ACS Services will be economical at the prices set out in the Customer Service Contract.
Without limiting the generality of the foregoing, in the event that a Sideware Client is unwilling to pay time-based charges for the ACS Services, the parties will use their best efforts to agree on an alternate method for charging the client, and upon consequential changes to the provisions of Article 4.
