The Borrower will, and will cause each Subsidiary to, use the proceeds of the Loans (i) to finance the Acquisition (SPH) and expenses related thereto and (ii) for working capital, Capital Expenditures, Restricted Payments permitted by this Agreement, Permitted Acquisitions and other general corporate purposes.
Schedule 5.8 contains an accurate list of all Subsidiaries of Borrower as of the Closing Date (after giving effect to the Acquisition (SPH)) and an accurate list of all Subsidiaries of Borrower (after giving effect to the ▇▇▇▇▇▇▇ Restructuring) as of the date of the ▇▇▇▇▇▇▇ Restructuring, setting forth their respective jurisdictions of organization and the percentage of their respective Equity Interests owned by the Borrower, or other Subsidiaries.
The Borrower will not, and will not permit any Subsidiary, to make any Acquisition other than the Acquisition (SPH) and any Permitted Acquisition.
