Acquisition Prospect definition

Acquisition Prospect means each Person whose stock or assets is intended to be acquired in an Acquisition permitted under subsection 8.4(i) including, in each case, the assets and the liabilities thereof.
Acquisition Prospect means each Person whose capital stock, partnership interests, membership interests or equity, or whose assets, are intended to be acquired in an Acquisition permitted under SECTION 8.8(g) or SECTION 8.8(h).

Examples of Acquisition Prospect in a sentence

  • For a period of two (2) years following the date hereof, Executive agrees not to, directly or indirectly, compete with the Company in the Territory (as defined herein) (i) as a chief executive officer, president or chief operating officer with, or provide comparable level executive consultation to, any Competitive Business or (ii) as an investor or member of a group of investors in acquiring or attempting to acquire an interest in any Company Acquisition Prospect (as defined herein).

  • Company Financial Information As defined in Section 2(a)(ii).

  • Acquisition Transactions means the transactions contemplated by the Acquisition Agreement.

  • Acquisition Assets With respect to an Acquisition, the aggregate net assets as of the effective date of such Acquisition of all Acquired Funds.

  • Permitted Acquisition Documents means with respect to any acquisition proposed by the Borrower or any Subsidiary Guarantor, final copies or substantially final drafts if not executed at the required time of delivery of the purchase agreement, sale agreement, merger agreement or other agreement evidencing such acquisition, including, without limitation, all legal opinions and each other document executed, delivered, contemplated by or prepared in connection therewith and any amendment, modification or supplement to any of the foregoing.

  • Acquisition Inquiry means an inquiry, indication of interest or request for information (other than an inquiry, indication of interest or request for information made or submitted by Parent) that could reasonably be expected to lead to an Acquisition Proposal.
