Acquisition Liabilities definition

Acquisition Liabilities means any current liabilities of the Acquired Companies or amounts recorded in contra accounts to current assets by the Acquired Companies, including accrued expenses and contra accounts to accounts receivable, in each case to the extent relating to accounts receivable that the Acquired Companies are responsible for collecting pursuant to the terms of the agreements and corresponding sections set forth on Schedule 1.2(b) on behalf of the seller parties identified in such agreements.
Acquisition Liabilities means the sum of (x) the outstanding balance of all Acquisition Loans as of the Put/Call Closing Date and (y) the sum of all Deferred Acquisition Consideration Liabilities for all Company Acquisitions (net of any cash reserve associated with such liabilities as described in Section 3.6(b)) as of the Put/Call Closing Date; provided, however, for purposes of calculating the Final Class B Payment, the Final Class C Payment or the Third True-Up Payment, the Deferred Acquisition Consideration Liabilities in clause (y) shall be measured as of December 31 of YP+1, but shall add back to such amount any payments of deferred acquisition consideration actually made between the Put/Call Closing Date and December 31 of YP +1 to the extent such payments were satisfied by a source other than the associated cash reserve.

The amount of any Contingent Liability shall (subject to any limitation set forth herein) be deemed to be the outstanding principal amount (or maximum permitted principal amount, if larger) of the indebtedness, obligation or other liability guaranteed or supported thereby.

  • Material Environmental Liabilities means Environmental Liabilities exceeding $500,000 in the aggregate.

The amount of any Person’s obligation under any Contingent Liability shall (subject to any limitation set forth therein) be deemed to be the outstanding principal amount (or maximum outstanding principal amount, if larger) of the debt, obligation or other liability guaranteed thereby.

  • Assumed Obligations has the meaning specified in Section 2.2.

  • Environmental Liabilities and Costs means all liabilities, monetary obligations, Remedial Actions, losses, damages, punitive damages, consequential damages, treble damages, costs and expenses (including all reasonable fees, disbursements and expenses of counsel, experts, or consultants, and costs of investigation and feasibility studies), fines, penalties, sanctions, and interest incurred as a result of any claim or demand by any Governmental Authority or any third party, and which relate to any Environmental Action.

  • MREL Eligible Liabilities means “eligible liabilities” (or any equivalent or successor term) which are available to meet any MREL Requirement (however called or defined by then Applicable MREL Regulations) of the Issuer under Applicable MREL Regulations;

  • Unfunded Vested Liabilities means, for any Plan at any time, the amount (if any) by which the present value of all vested nonforfeitable accrued benefits under such Plan exceeds the fair market value of all Plan assets allocable to such benefits, all determined as of the then most recent valuation date for such Plan, but only to the extent that such excess represents a potential liability of a member of the Controlled Group to the PBGC or the Plan under Title IV of ERISA.
