Acquiror’s Representative definition

Acquiror’s Representative has the meaning set forth in Section 11.16.

  • It is understood by the parties that Acquiror’s Representative will not have any voting rights with respect to matters discussed at these meetings and that Acquiror is not managing the business or affairs of the Bank or LFC.

  • Notwithstanding the foregoing, if a matter relates solely to a Person constituting part of the Acquiror, at such Person’s election upon written notice given to the other parties hereto, such Person shall be entitled to address such matter instead of the Acquiror’s Representative.
