ACL Capital means ACL Capital Corp., one of the Debtors.

The Board of Managers may designate any Restricted Subsidiary, other than ACL Capital, to be an Unrestricted Subsidiary if such designation would not cause a Default.
ACL Capital shall not hold any assets (other than the $100.00 contributed to it in connection with its formation), become liable for any obligations other than its obligations under the Notes or engage in any business activities; provided, that ACL Capital may be a co-obligor with respect to Indebtedness if the Company is primary obligor of such Indebtedness and the net proceeds of such Indebtedness are received by the Company or one or more of the Company's Subsidiaries other than ACL Capital.
