ACH Exposure definition

ACH Exposure. As defined in (S)1.6.
ACH Exposure as determined at any date means the sum of (i) all amounts then owed by the Borrower to the Bank in connection with any ACH transaction pursuant to which the Bank has advanced funds on behalf of the Borrower PLUS (ii) the maximum amount which could be owed by the Borrower (assuming settlement within two (2) Business Days of each date when funds are advanced) to the Bank in connection with all ACH transactions then authorized by the Borrower but as to which the Bank has not yet advanced funds.
ACH Exposure means indebtedness of any or all of the Debtors to the Lender on account of automatic clearing house direct deposit payroll transactions.

Examples of ACH Exposure in a sentence

  • Alloya may suspend processing or reject Entries if the ACH Exposure Limit is exceeded on each processing date.

  • Alloya may assign a limit representing the maximum aggregate dollar amount of Entries that may be initiated by Member each day (ACH Exposure Limit).

  • Bank may also assign Customer a limit representing the maximum aggregate dollar amount of Entries that may be initiated by Customer each day, which limits may be amended, modified and/or supplemented at any time in Bank’s sole and absolute discretion (such limits, the “ACH Exposure Limit”); Customer acknowledges that the ACH Exposure Limit is solely for the protection of Bank and its assets.

  • The total dollar amount of Entries transmitted by Customer to Bank on any one Business Day shall not exceed, in each case, the ACH Exposure Limit or any limit as subsequently requested by Customer and approved by Bank.

  • Third-Party Sender acknowledges that the ACH Exposure Limit is solely for the protection of Financial Institution and its assets.

  • The Company acknowledges that the ACH Exposure Limit is solely for the protection of the Institution and its assets.

  • Company acknowledges that the ACH Exposure Limit is used for the protection of Bank and its assets.

  • Upon the occurrence of any event described in clause (i) or clause (ii) of the immediately preceding sentence, the Bank may also require the Borrower to cash collateralize the outstanding F/X Exposure and ACH Exposure.
