Effective as of the Closing Time, each member of the Company Group will cease to be covered under any insurance policy covering ACE and any of its affiliates, including directors’ and officers’ and errors and omissions insurance; provided, however, that employees of members of the Company Group shall continue to be included in insurance policies and other welfare and benefit plans of members of the ACE Group in accordance with Article VII.
The Company and ACE each acknowledge and agree that the terms of Section 9.3 of the Separation Agreement shall apply to information, documents, plans and other data made available or disclosed by any member of the Company Group or the ACE Group in connection with this Agreement.
Notwithstanding the foregoing, members of the Company Group shall continue to be covered under ACE Group policies for claims made after the Closing in respect of acts or events occurring up to and including the Closing Time.
Except as otherwise provided herein and except for the Ancillary Agreements and the agreements described in Schedule 3.3(b), effective as of the Closing Time, all agreements between or among one or more members of the ACE Group, on the one hand, and one or more members of the Company Group, on the other hand, shall terminate.
The Company, the Successor Company and the Guarantor each further agrees for the benefit of the Trustee and the Holders of the Securities to take any and all action, including the execution and filing of any and all such documents and instruments, as may be necessary to continue such designation and appointment of said ACE Group Holdings, Inc.
