The intent of the Intercompany Settlement will be to put the Acquired Companies, and its Affiliates as an affiliated group, and the Seller and its Affiliates in the same position as they would have been if (a) there were no Outstanding Intercompany Accounting Items at the time of the Initial Closing and (b) the Intercompany Settlement happened immediately prior to the Initial Closing.
