If the board of directors of Acclaro or Bastion, as the case may be, does not so determine, the other Party may accept, approve, recommend or enter into an agreement, understanding or arrangement in respect of such Superior Proposal.

Neither Bastion, Bastion Subco nor Acclaro shall compromise or settle any claim brought in connection with the Transaction, without the prior written consent of the other Parties.
In the event that Acclaro or Bastion, as the case may be, provides the other Party with a Superior Proposal Notice on a date that is less than seven (7) Business Days prior to its meeting of shareholders, Acclaro or Bastion, as the case may be, shall, at the request of the other Party, adjourn such meeting to a date that is not less than five (5) Business Days and not more than fifteen (15) days after the date of the Superior Proposal Notice.
