Acceptance Principle definition

Acceptance Principle means that the CMD Milestone or the Future System Milestone (as applicable) must: (a) be at least capable of providing equivalent functionality and performance as CMD provided in the twelve (12) calendar months immediately prior to the date of this Agreement, including speed, capacity, availability, code quality, security, incidents and events, defects, user access and other performance metrics; and (b) be capable of use by the Group to ensure compliance with legal and regulatory requirements that apply to the InfraCo Business in an equivalent manner and to the same extent as CMD was capable of ensuring compliance in the twelve (12) calendar months immediately prior to the date of this Agreement;

  • Acceptance Letter means the letter from Adviser to BD pursuant to which the Adviser appoints BD as a Broker Dealer for each series of MuniPreferred issued by any Fund that has executed a Request Letter.

  • Acceptance of Bid means the letter/fax or any memorandum communicating to the Bidder the acceptance of its Bid and includes an advance acceptance of his Bid.

  • Acceptance and Prepayment Notice means an irrevocable written notice from a Term Lender accepting a Solicited Discounted Prepayment Offer to make a Discounted Term Loan Prepayment at the Acceptable Discount specified therein pursuant to Section 2.11(a)(ii)(D) substantially in the form of Exhibit O.

  • Construction Change Directive means a written order prepared by Owner Parties and signed by Owner directing Contractor to perform a change in the Work prior to agreeing to a change, if any, to the Contract Time, schedule of performance of the Work, Contract Sum, or Contractor’s compensation.

  • Acceptance Test is a test of the Features executed by the Customer to prepare the acceptance.
