Acceptance Notes definition

Acceptance Notes has the meaning given to it in Section 2.3(c)(vii).

Examples of Acceptance Notes in a sentence

  • Notwithstanding the foregoing, unless the Acceptance Lender otherwise notifies the Canadian Borrower in writing, in lieu of receiving delivery of Acceptance Notes, such Acceptance Notes shall be uncertificated and Acceptance Notes shall be evidenced by the account of the Lenders.

  • The agreements in this Section shall survive the termination of this Agreement and the payment of the Loans, the Acceptance Reimbursement Obligations, the Acceptance Notes and all other amounts payable hereunder.

  • The agreements in this subsection shall survive the termination of this Agreement and the payment of the Loans, the Acceptance Reimbursement Obligations, the Acceptance Notes and all other amounts payable hereunder.

  • Each of Celestica and any Canadian Designated Subsidiary Borrower renounces and shall not claim any days of grace for the payment of any Bankers’ Acceptance or Acceptance Notes.

  • Each such Acceptance Lender hereby agrees to purchase Acceptance Notes from the Canadian Borrower at a purchase price equal to the Notional BA Proceeds which would have been applicable if a Bankers’ Acceptance draft had been accepted by it and such Acceptance Notes shall be governed by the provisions of this Section 2.2(f) as if they were Bankers’ Acceptances.

  • Concurrent with the acceptance or purchase of Bankers’ Acceptances or Acceptance Notes of the Canadian Borrower as aforesaid, each BA Lender or Acceptance Lender, as applicable, shall make available to the Canadian Agent its pro rata portion of the Notional BA Proceeds with respect to such Bankers’ Acceptance.

  • In the event that a Borrower fails to deliver a Conversion Notice or Rollover Notice and fails to make payment to the Administrative Agent in respect of the maturing Bankers’ Acceptance Advance, the Face Amount of the maturing Bankers’ Acceptances and the principal amount of the Acceptance Notes forming part of such Bankers’ Acceptance Advance shall be deemed to be converted to a Prime Rate Advance on the relevant maturity date.

Guidance notes: This clause provides for who is to own the specially created intellectual property rights. The clause should be amended to make it clear whether they are owned by the Service Provider or by the Purchaser. If they are to be owned by the Service Provider then the Purchaser will require appropriate licences to use the rights. This is provided as an option in clause 37.1 (Licences of Intellectual Property Rights). If they are to be owned by the Purchaser then the Service Provider will require a right to use them in order to perform the Services. This is provided as an option in clause 37.5 (Licences of Intellectual Property Rights). Licences of Intellectual Property Rights The Service Provider grants to the Purchaser a royalty-free, irrevocable and non-exclusive licence (with a right to sub-licence) to use any Intellectual Property Rights owned or developed prior to the Commencement Date (including Service Provider Software) for the purposes of delivery of the Services by or for the Service Provider and which the Purchaser reasonably requires in order to enjoy the benefit of the Services including the right to load, execute, store, transmit, display and copy (for the purposes of archiving, backing-up, loading, execution, storage, transmission or display). Delete if the Purchaser will own the specially created intellectual property rights] The Service Provider must ensure that the third party owner of any Intellectual Property Rights (including Third Party Software) that are or which may be used to perform this Contract grants to the Purchaser a royalty-free, irrevocable and non-exclusive licence (with a right to sub-licence) or, if itself a licensee of those rights, grants to the Purchaser an authorised and equivalently wide sub-licence, to use, reproduce, modify, develop and maintain such Intellectual Property Rights. Such licence or sub-licence must be non-exclusive, perpetual, royalty free and irrevocable. All Software licensed to the Purchaser pursuant to this Contract is set out in (Software Licences).

  • Letter of Acceptance (LOA) means the written notice issued by JMRC to the selected bidder(s) intimating the acceptance of selected bidder's Proposal for the award of License;

  • Accepted Note shall have the meaning specified in paragraph 2B(5).
