Acceptable Payee(s) means Borrower’s name and any other or substitute payee name provided to the Clearing Bank by the Lender, the Servicer or, with the Lender’s written consent, the Borrower as an acceptable payee for Checks to be processed under the Lockbox Service). For the Lockbox Address, the following names are Acceptable Payees: The Clearing Bank will process a check if it is made payable to an Acceptable Payee (or reasonable variation thereof) if the check is otherwise capable of being processed. Borrower warrants that each Acceptable Payee has authorized Checks payable to it that pertain to the rents at the Properties to be credited as provided herein. The Clearing Bank’s determination of what constitutes a reasonable variation of any Acceptable Payee’s name shall be made in the Clearing Bank’s discretion.

Examples of Acceptable Payee(s) in a sentence

  • Checks made payable to the Acceptable Payees listed in the Implementation Documents or any reasonable derivation thereof is acceptable for deposit.

  • All changes are subject to the Bank’s rights to reject any addition, deletion or modification to the list of Acceptable Payees.

  • If any payee on the list of Acceptable Payees delivered to the Bank pursuant to the Supporting Documents is a legal entity other than you, you represent and warrant to the Bank and Processor(s) that you have the proper authorization from such payee: (i) to have such Check endorsed for deposit, and deposited, into the Lockbox Account; and (ii) for the Bank and any processor(s) to perform the Lockbox Service under this Service Description for such Acceptable Payee.

  • Bank may treat as Acceptable Payees any variation of Acceptable Payees’ name that Bank deems to be reasonable.

  • Such designations of Acceptable Payees shall become effective only after such written request is delivered in an acceptable form to the Bank and after the Bank has a reasonable time to process such changes.

  • Exception items include, but are not limited to, items that are unsigned, items that are undated, post-dated or stale dated, items where the payee line is blank or does not match your name or Acceptable Payees, items containing inconsistent amounts, and items that bear paid-in-full or similar notations.

  • Bank may treat as an Acceptable Payee any variation of any Acceptable Payee's name that Bank deems to be reasonable.

  • You will provide us with the names of your Acceptable Payees in your Lockbox Implementation Questionnaire and Service Request.

  • If any Payee on the list of Acceptable Payees delivered to Bank pursuant to the Setup Forms is a legal entity other than Company, Company represents and warrants to Bank that Company has the proper authorization from such Payee (i) to have such Check indorsed for deposit, and deposited, into the applicable account, and (ii) for Bank to perform the Lockbox Service pursuant to this Service Description for such Acceptable Payee.

  • To the extent any of the Acceptable Payees constitute separate entities, customer represents and warrants to the Bank that whether through common ownership, or parent/subsidiary or other affiliate relationship Customer has all necessary agreements and authorizations from the Acceptable Payees in order to deposit checks to the Acceptable Payees in the Customer’s Account.
