• Except in the case of an emergency, Landlord agrees that such movement shall occur at a time when the Back-up AC System is not likely to be needed and that is otherwise mutually satisfactory and shall be with advance notice to Tenant.

• SELLER’S COVERAGE LIMITS: 1) Coverage provided for Home Seller’s Heating & A/C System is subject to a combined $500 maximum for diagnosis, repair or replacement during the Seller’s Coverage Period.

• Tenant shall be solely responsible for the cost and expense of installation, operation, repair and maintenance of the Back-up AC System, including any necessary piping, ductwork and electricity.

AC System means the alternating current system of electricity traction supply on HS1; "Additional IRC" has the same meaning as the term “"Additional Investment Recovery Charge”" as set out in paragraph 11.1.2 of Section 3 of Schedule 10 of the Concession Agreement; "Additional Permitted Charges" means the charges specified in paragraph 2 of Part 4 of this Section 7; "Advance Period" means any of the following periods:(a) the first three Periods in a Relevant Year;(b) the three Periods comprising the fourth, fifth and sixth Periods in any Relevant Year;(c) the three Periods comprising the seventh, eighth and ninth Periods in any Relevant Year; and(d) the final four Periods in any Relevant Year; "Aggregate Underpinned Amount" means the aggregate of the Underpinning Payments received by HS1 Ltd for a Relevant Year; "AV Underpinned Amount" means, in Relevant Year t, that part of the Aggregate Underpinned Amount which corresponds to the amount of Avoidable Long-Term Costs which a train operator would have paid HS1 Ltd in accordance with these Terms if it had operated the Shortfall Domestic Services in Relevant Year t; "Avoidable Long- Term Costs" means those elements of OMRC which are the avoidable long- term costs related to the long-term operational phase of the High Speed 1 project which are recoverable pursuant to paragraph 3 of Schedule 3 of the Railways Regulations (other than such costs which comprise Pass Through Costs); "Best Practice" means in respect of the Operator the exercise of that degree of skill, diligence, prudence, foresight and practice which would reasonably be expected from a skilled and experienced operator engaged in the operation, maintenance, renewal and replacement of high speed railway infrastructure; "Capacity Reservation Charge" means the charges to be paid by the Train Operator to HS1 Ltd with regard to the Reserved Capacity Right as calculated in accordance with paragraph 6.1 of Part 2 of this Section 7; "Capacity Reservation Rebate" means, in respect of any Period, the aggregate of the Individual Capacity Rebate in that Period as calculated in accordance with paragraph 6.2 of Part 2 of this Section 7; "Chargeable Journey Distance" means the chargeable journey distance specified in column K of Part 2 of Schedule 4 to the Contract;

AC System means the alternating current system of electricity traction supply on the Network; “Cancellation Charge” has the meaning given to that term in paragraph5.1 of Part 2; “Charter Capacity Charge” means a variable charge calculated in accordance with paragraph 8 of Part 2; “Charter Capacity Charge Wash-up” means the charge calculated in accordance with paragraph 8.2.2 of Part 2; “Charter Capacity Charge Wash-up Rate” means the rate in the column headed “Wash-up rate” that applies to Services for charter operators that operate on weekdays, as set out in the List of Capacity Charge Rates, and adjusted in accordance with paragraph 8.2.2 of Part 2; “Charter Capacity Rate” means, in respect of each Service, the charter capacity rate corresponding to the day (or days) of the week on which that Service is operated, as set out in the List of Capacity Charge Rates and adjusted in accordance with paragraph 8 of Part 2; “Core Operational Period” in relation to any part of the Network, means the period of the day when that part is generally open to train movements; “DC System” means the direct current system of electricity traction supply on the Network; “ECS” means empty coaching stock (trains used to bring carriages into or take them out of service); “Electricity Type (AC/DC)” means either the alternating current (AC) or the direct current (DC) system of electricity supplied through the electrification system;
