In addition, through December 31, 2019, ABG and its Affiliates shall cause each ABG Employee who accepts ABG’s offer of employment that is terminated without cause to receive those severance benefits set forth in Section 5.7(b) of the Sellers Disclosure Schedules.
For the avoidance of doubt, any ABG Employee who does not accept ABG’s offer of employment or continued service prior to the Closing shall be considered an “Excluded Employee” for purposes of this Agreement and, except as set forth on Section 5.7(a) of the Sellers Disclosure Schedule, in no event shall Buyers or any Affiliate of either Buyer make any offer of employment or other consulting or similar arrangement to any such Excluded Employee for a period of two (2) years following the Closing Date.
