From and after the Global Closing Date, TelCove shall refer to ACC all inquiries with respect to the A&A Contracts and the IT Licenses being transferred to the ACC Parties pursuant to the IT License Exchange Agreement.
Such party is duly authorized to transact business as a foreign corporation, partnership or other legal entity, and is in good standing, in the states in which the Acquired Assets are located and the CLEC Assumed Contracts, the IT Licenses and the A&A Contracts are performed.
Each of the parties hereto waives compliance with any applicable provisions of the Uniform Commercial Code Article 6 (Bulk Sales or Bulk Transfers) or analogous provisions of Law, as adopted in the states in which the Acquired Assets, CLEC Assumed Contracts, IT Licenses and the A&A Contracts are located as such provisions may apply to the transactions contemplated by this Global Agreement and the Annex Agreements.
