A Recipient definition

A Recipient s duty to protect Confidential Information expires three (3) years from the End Date. A Recipient, upon Discloser's written request, will promptly return all Confidential Information received from the Discloser, together with all copies, or certify in writing that all such Confidential Information and copies thereof have been destroyed.
A Recipient s interest in the Option shall vest according to the provisions of this Section 8 and shall be exercisable as to not more than the vested percentage of the shares subject to the Option at any point in time. Furthermore, the Option is exercisable only if the issuance of Shares upon exercise would comply with applicable securities laws. To the extent the Option is either unexercisable or unexercised, the unexercised portion shall accumulate until the Option both becomes exercisable and is exercised, subject to the provisions of Section 9 of the Agreement. The Option shall become vested as follows: Anniversary of Date of Grant Date of Grant August 17, 2001, August 16, 2002 After August 16, 2003 Vested Percentage of Option 50% 75% 100% The Committee, in its sole and absolute discretion, may accelerate the vesting of the Option at any time. The Option shall automatically become 100% vested upon the occurrence of a Change of Control.

Examples of A Recipient in a sentence

  • A Recipient must accept the Transfer within 10 days, or the Transfer will be cancelled and reversed.

  • A Recipient of federal assistance through a Cooperative Agreement must use the DELPHI eInvoicing System to obtain federal payments for costs incurred that implement the Underlying Agreement, unless a waiver is granted.

  • A Recipient may disclose Confidential Information if it is required to do so by applicable law, regulation or court order but, where legally permissible, will provide advance notice to the Discloser to enable the Discloser to seek a protective order or other similar protection if feasible.

  • A Recipient Created Tax Invoice (RCTI) Credit Note will be raised for the disposal cost and amount owing will be deducted from Supplier’s Milk payment over a 3-month period (or such other period to be determined by ACM acting reasonably).

  • A Recipient may disclose Confidential Information if it is required to do so by applicable law, regulation or court order but, where legally permissible and feasible, will provide advance notice to the Discloser to enable the Discloser to seek a protective order or other similar protection.

  • A Recipient that receives planning, capital and/or operating assistance and that will award prime third party contracts exceeding $250,000 in a federal fiscal year must have a DBE program that is approved by FTA and meets the requirements of 49 CFR Part 26.

  • A Recipient may disclose Confidential Information only to those of its Representatives who need to know such Confidential Information for the purpose of implementing the transaction contemplated by this Agreement.

  • A Recipient that receives planning, capital and/or operating assistance and that will award prime Third-Party contracts exceeding $250,000 in a federal fiscal year must have a DBE program that is approved by FTA and meets the requirements of 49 C.F.R. part 26.

  • A Recipient disclosing information under clause 15.3(a) or 15.3(b) (Disclosure of Confidential Information) must ensure that persons receiving Confidential Information from it are aware it is Confidential Information and do not disclose the information except in the circumstances permitted in clause 13.3 (Disclosure of Confidential Information).
