A Equity definition

A Equity means A Shares and the ALPECs that must be transferred with the A Shares pursuant to the Investors Agreement and any Transmuted Security arising from such Equity;

Examples of A Equity in a sentence

  • If the Corporation shall determine to redeem less than all the Series A Equity Shares then outstanding, the shares to be redeemed shall be selected pro rata (as nearly as may be) so that the number of shares redeemed from each holder shall be the same proportion of all the shares to be redeemed that the total number of Series A Equity Shares then held by such holder bears to the total number of Series A Equity Shares then outstanding.

  • Subject to the foregoing, and not otherwise, dividends may be declared by the Board of Directors and paid on any Series A Equity Shares or Common Equity Shares from time to time out of any funds legally available therefor, and the Senior Preferred Shares shall not be entitled to participate in any such dividends, whether payable in cash, stock or otherwise.

  • Notice of redemption of the Series A Equity Shares shall be mailed by first class mail, postage prepaid, addressed to the holders of record of the shares to be redeemed at their respective last addresses as they shall appear on the books of the Corporation.

  • Book Equity means the aggregate of the amounts paid-up or credited as paid-up on the Charter Guarantor's issued share capital and the amount of the consolidated capital and revenue reserves of the Group (including any share premium account, capital redemption reserve fund and any credit balance on the consolidated profit and loss account of the Group) all as shown by the latest audited consolidated balance sheet and profit and loss account of the Group delivered under this Deed but after:

  • New Equity means the common equity interests in Reorganized Neiman to be authorized, issued, or reserved on the Effective Date pursuant to the Plan.

  • Equity Investment means (i) an Equity Security; and (ii) an ownership interest in any company or other entity, any membership interest that includes a voting right in any company or other entity, any interest in real estate; and any investment or transaction which in substance falls into any of these categories even though it may be structured as some other form of investment or transaction.

  • Equity Investments shall have the meaning provided in the preamble to this Agreement.

  • Equity Capital means capital invested in common or preferred stock, royalty rights, limited partnership interests, limited liability company interests, or any other security or rights that evidence ownership in a private business.
