  • Upon demand by Owner, any claims between Owner and A/E, Contractor and A/E, Owner and Contractor, Owner and Contractor’s Guarantor, or Contractor and its subcontractors and suppliers, shall be submitted in a single forum, and Owner may consolidate or join any of the above named parties in the action.

  • If required by TFC or A/E, Contractor shall furnish satisfactory evidence (including reports of required tests) as to the source, kind, and quality of materials and equipment.

  • Failure to include such provisions shall bar the A/E Contractor from any recovery from the County whatsoever for loss or damage sustained by a subcontractor as a consequence of termination for convenience.

  • The decision of the County Administrator, or designee, shall be final and conclusive unless the A/E Contractor appeals the decision as provided in the Code of Virginia (1950, as amended).

  • In the event of a claim covered by this subparagraph, and in addition to all other obligations of A/E Contractor in this paragraph, A/E Contractor must at its expense and within a reasonable time: (i) obtain a right for the County to continue using such products and software, or allow A/E Contractor to continue performing the Services; (ii) modify such products, software, services or deliverables to make them non-infringing; or (iii) replace such products or software with a non- infringing equivalent.

  • Such use of Work Product by Owner or any other person to whom the Owner has furnished such Work Product shall be at the user’s sole risk of liability and without liability or legal exposure to Private Entity, A-E, Contractor, or any of their subcontractors and consultants, or any of their officers or employees.

  • Sub-Contractor means the person named in the Contract for any part of the works or any person to whom any part of the contract has been sublet by the contractor with the consent in writing of the Engineer-in-charge and will include the legal representatives, successors and permitted assigns of such persons.
