If within twelve (12) months after the end of the Term (as defined below), the Company completes any financing of equity, equity-linked or debt or other capital-raising activity of the Company for which any investors in the Placement were contacted by the Placement Agent in connection therewith (other than the exercise by any person or entity of any options, warrants or other convertible securities), then the Company shall pay to the Placement Agent a commission as described in Section 3(A)-(C) herein.
