100% Effective Date definition

100% Effective Date means the date, following the Effective Date, when each of the 100% Effective Date Conditions Precedent shall have been satisfied and when counterparts hereof executed on behalf of each Borrower and each Lender (or notice thereof satisfactory to the Agents) shall have been received by the Agents and notice thereof shall have been given by the Agents to the U.S. Borrower and each Lender.
