10% Cap definition

10% Cap has the meaning set forth in Section 10.06(b).
10% Cap shall have the meaning set forth in Section 9.4(c)(iii).
10% Cap means, with respect to any Financing Commitment issued by the Lender, an amount equal to 10% of the aggregate amount thereof.

  • If permitted by Regulation AB, any required 10% Cap Financial Disclosure may be provided by incorporation by reference from reports filed pursuant to the Securities Exchange Act.

  • Dealer acknowledges that it will not be entitled to receive any selling commissions, dealer manager fees or Distribution Fees which would cause the aggregate amount of selling commissions, dealer manager fees, Distribution Fees and other forms of underwriting compensation (as defined in accordance with applicable FINRA rules) paid from any source in connection with each Offering to exceed the 10% Cap.

  • The Dealer Manager agrees to use its commercially reasonable efforts to limit underwriting compensation other than the selling commissions, dealer manager fees and the Distribution Fee described in the Prospectus to an amount that is designed to protect against the 10% Cap being met prior to the date that the Account Cap is reached with respect to all shares sold by Dealer.

  • For example, if you have a Shield Option with a 1-Year Term, a Shield 10 and a 10% Cap Rate and you make a withdrawal halfway through your Term, the Interim Value will be calculated using your Accrued Shield Rate and Accrued Cap Rate.
