Force Majeure-Definition

Force Majeure shall refer to any event that (a) arises after the Start Date of the Agreement, (b) is not caused by and is beyond the reasonable control of the affected Party, (c) could not have been prevented and cannot be overcome through reasonable efforts of the affected Party, and (d) materially affects the affected Party's performance under this Agreement. Force Majeure events may include fire, explosion, power blackout, earthquake, flood, severe storms, strike, embargo, labor disputes, acts of civil or military authority, war, terrorism (including cyber terrorism), acts of God, acts or omissions of Internet traffic carriers, actions or omissions of regulatory or governmental bodies (including the passage of or material change in Laws or other acts of government) that materially affect performance under this Agreement. A Force Majeure event does not apply to payment obligations and does not include theft or loss, or events caused by the negligent or intentional acts or omissions of the affected party.
Force Majeure. Neither Party shall be considered in breach of these Terms if prevented from performing due to an event that renders it wholly or partially impossible for the affected Party to perform its obligations under these Terms, when such event is beyond the reasonable control of the affected Party, is not due to the fault or negligence of the affected Party, and could not have been avoided by the affected Party by the exercise of reasonable diligence (each, a “Force Majeure Event”). Force Majeure Events include but are not limited to interruption of operations, undetectable faults in materials, lack of raw materials, government orders, pandemics, unsafe site conditions, laws, failure of third parties to deliver, transport difficulties, public disorder, strikes, lockouts, problems with mobilization and other contingencies. If any period of a Force Majeure Event preventing performance of Work continues for more than 30 calendar days, either Party may terminate the effected Order or portion thereof by giving 5 calendar days written notice to the other Party.
Force Majeure means unusual and unforeseeable circumstances beyond the control of Avantiair GmbH & Co. KG, the consequences of which could not have been avoided even if all due care had been exercised.

Examples of Force Majeure in a sentence

  • In cases of Force Majeure (see below) Mondi may store the ordered goods at Mondi’s or at a carrier’s premises at the Customer’s risk and expense.

  • In such event, however, the delayed party must promptly provide the other party with written notice of the Force Majeure.

  • The delayed party's time for performance will be excused for the duration of the Force Majeure, but if the Force Majeure event lasts longer than 30 days, then the other party may immediately terminate, in whole or in part, this Agreement or the applicable Service Agreement by giving written g.

  • This includes in particular: official measures and orders, lawful labor disputes (including lockouts and strikes), pandemics and epidemics, floods, storms, explo- sions, riots, natural catastrophes, war, sabotage - hereinafter referred to as "Force Majeure".

  • If a case of Force Majeure lasts longer than thirty (30) calen- dar days without interruption or sixty (60) calendar days within one hundred and eighty (180) consecutive calendar days, we may – without prejudice to our other rights – termi- nate the contract as a whole with a period of notice of one month to the end of the month.

  • This clause shall also apply if ▇▇▇▇▇’▇ suppliers suffer any of these Force Majeure events.

More Definitions of Force Majeure

Force Majeure is any extraordinary, unavoida- ble event which could not be foreseen when this Agreement was concluded and cannot be averted even if the necessary care is taken, e.g. natural disasters of any kind, wars, terror, fire, hostage-taking, riots, etc. For the duration of a Force Majeure event, the contractual rights and obligations are suspended. The affected party shall immediately inform the other party about the occurrence, cause of the delay and later about its termination. If a Force Majeure event continues without interruption for a period of at least thirty (30) days, the other party shall be entitled to terminate this Agreement by giving written notice. A Force Majeure event cannot be caused on the part of Supplier by a lack of personnel, production materials or resources, strike, epidemics (including epidemics and pan- demics), unless the ▇▇▇▇▇▇ ▇▇▇▇ Institute or a comparable institution in the country of pro- duction has set a risk level of at least "moder- ate", breach of contract by third parties com- missioned by Supplier or financial problems of Supplier.

  • Werktage Abweichend von der Definition in § 2 Nr. 16 GasNZV sind im Folgenden unter Werktagen für die Fristenregelung alle Tage zu verstehen, die kein Sonnabend, Sonntag oder gesetzlicher Feiertag sind.
