Common use of Validity Clause in Contracts

Validity. These general terms and conditions which can be viewed at ▇▇▇.▇▇▇▇▇▇-▇▇▇▇▇.▇▇ at any time, exclusively apply if Ritter Trans GmbH, hereinafter referred to as "principal" places forwarding and freight orders with the "contractor" or commissions the contractor with other services. The transport order is binding even without confirma- tion. A written counter-confirmation with parts of the contract amended by the contractor is deemed inva- lid. Oral additional agreements are not valid. Irrespective of enquiries regarding capacity made by telephone, the transport contract is only concluded on the basis of the transmitted transport order, including the principal’s general terms and conditions con- tained therein. No conditions contradictory to these terms and conditions apply. Under no circumstances can the contractor rely on his own general terms and conditions, even if these are included in order confir- mations. In particular, the contractor cannot invoke the validity of the General Austrian Forwarders' Terms and Conditions (AÖSp) or other terms and conditions (e.g. in order confirmations, etc.). Any counter-confir- mations to the contrary do not form part of the freight contract and are invalid. At the latest, the contractor reconfirms his acceptance of these general terms and conditions when taking over the transported goods for carriage at the place of loading.
