Omissions Musterklauseln

Omissions. In connection with the purchase of the Shares by the Purchaser pursuant to this Agreement, the Second to Sixth Seller, each individually, shall omit any actions set out in the following terms to the extent described herein: 7.1.1 For a period of [ * ] after signing of this Agreement, neither (i) to acquire, directly or indirectly, any interest in a company competing with the Company, nor (ii) to act for such company, nor (iii) to provide consulting services to such company. In particular, a company competes with the Company if it is concerned with the design, development, production or sale of products which compete with the QUANTRON-Product-Line or with products acquired and mentioned at the end of the definition of Revenues above. This restriction on competition is limited to the area of Europe and Northern America. 7.1.2 not to entice away any employee of the Company during the period mentioned in clause 7.1.1 above.
