This Subscription Agreement (the “Subscription Agreement”) is made as of the date set forth below by and between the undersigned (the “Subscriber”) and the Company and is intended to set forth certain representations, covenants and agreements between Subscriber and the Company with respect to the offering (the “Offering”) for sale by the Company of the Class A Units as described in the Company’s offering circular dated [ ],2023 (the “Offering Circular”), a copy of which has been delivered to Subscriber. The Class A Units are also referred to herein as the “Securities”.
