This Second Amended and Restated Limited Partnership Agreement (this “Agreement”), dated as of August 31, 2023 of Blue Owl NLT Operating Partnership LP (formerly OakTrust Operating Partnership L.P.), a Delaware limited partnership (the “Partnership”), is entered into between Blue Owl Real Estate Net Lease Trust (formerly Oak Street Net Lease Trust), a Maryland statutory trust, as general partner (the “General Partner”) and as Limited Partner, each of Oak Trust Carry Participant Vehicle LP, a Delaware limited partnership, and Blue Owl Oak Trust Carry LLC, a Delaware limited liability company (each, a “Special Limited Partner” and together, the “Special Limited Partners”), and the Limited Partners party hereto from time to time.
