This Share Exchange Agreement (this “Agreement”) is made and entered into as of August 9, 2022, by and among HWGC Holdings Limited, a Nevada corporation (the “Company”), Fintech Scion Limited, a private limited company incorporated in the United Kingdom (the “Seller”), and the shareholders of the Seller listed on Schedule A-1 attached hereto (collectively, the “Shareholders”).
