AGREEMENT made as of the 24th day of May, 2018, by and between OFI CARLYLE PRIVATE CREDIT FUND (the “Fund”), and OC PRIVATE CAPITAL, LLC (the “Adviser”). WHEREAS, the Fund is a closed-end, management investment company registered as such with the Securities and Exchange Commission (the “Commission”) pursuant to the Investment Company Act of 1940, as amended (the “1940 Act”), operating as an interval fund under the 1940 Act; WHEREAS, the Adviser is registered as an investment adviser under the Investment Advisers Act of 1940, as amended (the “Advisers Act”); and WHEREAS, the Fund desires to retain the Adviser to serve as investment adviser and the Adviser is willing to do so; NOW, THEREFORE, in consideration of the mutual promises and covenants hereinafter set forth, it is agreed by and between the parties, as follows: 1.
