This Amended and Restated DST Dealer Manager Agreement (this “Agreement”) is entered into by and among Nuveen Real Estate Exchange LLC, a Delaware limited liability company (the “Sponsor”), Nuveen Securities, LLC, a Delaware limited liability company (the “Dealer Manager”), solely with respect to its obligations regarding the OP Unit Investor Servicing Fee set forth in Section 4(b) hereof, Nuveen Global Cities REIT OP, LP, a Delaware limited partnership (the “Operating Partnership”) and, solely with respect to its obligations regarding the REIT Share Stockholder Servicing Fee set forth in Section 4(b) hereof, Nuveen Global Cities REIT, Inc., a Maryland corporation (“Nuveen REIT”). This Agreement amends and restates that certain DST Dealer Manager Agreement dated May 28, 2025, by and between the Sponsor, the Dealer Manager, the Operating Partnership and Nuveen REIT.
