Protective Life and Annuity Insurance Company (the "Company"), Victory Variable Insurance Funds (the "Fund"), Victory Capital Management Inc. (the "Adviser"), and Victory Capital Services, Inc. (the "Underwriter"), entered into a certain participation agreement dated December 1, 2020 (the "Participation Agreement"). This Amendment (the "Amendment") to the Participation Agreement is entered into as of April 26, 2022, by and among the Company, on its own behalf and on behalf of each separate account of the Company as set forth in the Participation Agreement, as may be amended from time to time (individually and collectively the "Accounts"), the Fund and the Underwriter (collectively, the "Parties").

(the "Adviser") entered into a certain participation agreement dated April 2, 2004 (the "Agreement"). ("VCM"), the current adviser to the Funds, Victory Variable Insurance Funds ("Trust"), a Delaware statutory trust, on behalf of the mutual funds listed on Exhibit A (the "Funds") and Victory Capital Services, Inc. fka Victory Capital Advisers, Inc.("Distributor"), is effective as of February 25, 2022.
