AMENDMENT NO. 3 dated as of November 18, 2022 (this “Agreement”) among Delta Air Lines, Inc., a Delaware corporation (the “Company”), JPMorgan Chase Bank, N.A. (“JPMCB”), as administrative agent (in such capacity, the “Administrative Agent”) and as collateral agent (in such capacity, the “Collateral Agent”) and the Lenders (as defined below) party hereto. Capitalized terms used but not defined herein shall have the meanings assigned to such terms in the Amended Credit Agreement referred to below.
