THIS SECOND AMENDED AND RESTATED 15% SENIOR SECURED CONVERTIBLE PROMISSORY NOTE is a duly authorized and validly issued 15% Senior Secured Convertible Promissory Note of Mobiquity Technologies, Inc., a New York corporation, (the “Company”), having its principal place of business at 35 Torrington Lane, Shoreham, New York 11786, designated as its Second Amended and Restated 15% Senior Secured Convertible Promissory Note due September 30, 2029 (this Note, the “Note” and, collectively with the other Notes of such series, the “Notes”). The Holder named in the next paragraph is loaning to the Company an additional principal amount of $150,000.00 in accordance with the terms and conditions set forth in this Note, such that the total principal amount under this Note is $1,990,000.00.
