This UNIT PURCHASE AGREEMENT (this “Agreement”), dated as of December 22, 2021, is entered into by and between CHARGE INFRASTRUCTURE, INC., a Delaware corporation (“Buyer”), STEPHANIE WOJTOWICZ, an individual with an address at 5 Raymond Lane, Belle Mead, NJ 08502 (“SW”), MICHAEL S. WOJTOWICZ, an individual with an address at 5 Raymond Lane, Belle Mead, NJ 08502 (“MW”), and ROBERT J. WOJTOWICZ, an individual with an address at 13 Ditmar Blvd., Whitehouse Station, NJ 08889 (“RW,” together with SW and MW, the “Members”), and B W ELECTRICAL SERVICES LLC, a New Jersey limited liability company (the “Company”). Annex A hereto contains definitions of certain initially capitalized terms used in this Agreement.
