THIS PRE-FUNDED ORINDARY SHARE PURCHASE WARRANT (the “Warrant”) certifies that, for value received, _____________ or its assigns (the “Holder”) is entitled, upon the terms and subject to the limitations on exercise and the conditions hereinafter set forth, at any time on or after the date set forth above (the “Initial Exercise Date”) and until this Warrant is exercised in full (the “Termination Date”) but not thereafter, to subscribe for and purchase from Mixed Martial Arts Group Limited., an Australian public company limited by shares (the “Company”), up to ______ Ordinary Shares (as defined herein) (as subject to adjustment hereunder, the “Warrant Shares”). The purchase price of one Ordinary Share under this Warrant shall be equal to the Exercise Price, as defined in Section 2(b).

This Asset Purchase Agreement (this “Agreement”), dated as of 18 December, 2024, is entered into by and among ALTA GLOBAL GROUP LIMITED (ACN 163 057 565), a company registered in Australia at Level 1, Suite 1 29-33 The Corso, Manly NSW 2095 Australia (“Buyer”), BJJLINK LLC, a California limited liability company (“Seller”) SANTIAGO AMARAL, an individual resident of the State of New Jersey (“Amaral or Principal”). Seller and Principal are sometimes referred to in this Agreement individually as a “Seller Party” and collectively as the “Seller Parties.” Buyer and the Seller Parties are sometimes referred to in this Agreement individually as a “Party” and collectively as the “Parties.”
