This REGISTRATION RIGHTS AGREEMENT (the “Agreement”), dated as of April 3, 2022 (the “Execution Date”), is entered into by and between IGEN Networks Corp., a Nevada corporation with its principal executive office at 31722 Casino Drive, Suite C, Lake Elsinore, California 92530 (the “Company”), and Jefferson Street Capital LLC, a New Jersey limited liability company, with an address at 720 Monroe Street, Suite C401B, Hoboken, New Jersey 07030 (the “Investor”).
