THIS SETTLEMENT AND RELEASE AGREEMENT (the “Agreement”) is effective as of May 1, 2019 (the “Effective Date”), by and between Jeffrey Mills, an individual residing in the State of Minnesota (the “Director”), and DigitalTown, Inc., a Minnesota corporation (the “Company”). The Director and the Company are collectively referred to herein as the “Parties,” or each of them individually as a “Party.”
