This Employment Agreement (the “Agreement”) is by and between Biohaven Research Ltd., a company formed under the laws of the Territory of the British Virgin Islands (the “Company”), and Matthew Buten, an individual resident of the State of Connecticut (the “Executive”) effective as of the closing of that certain transaction in which Biohaven Pharmaceutical Holding Company Ltd. (“Biohaven”) spun-off its non-CGRP business into the Company (the “Transaction”). If the Transaction does not close, this Agreement shall be null and void ab initio.
