(the “Company”) concerning the terms of your separation from the Company and offers you the separation compensation specified herein in exchange for your general release of claims, covenant not to sue now and upon the Separation Date and other promises set forth herein. In the case of any consolidation, arrangement, merger or transfer of the undertaking or assets of the Company as an entirety or substantially as an entirety to or with another entity (the “successor entity”), the successor entity resulting from such consolidation, arrangement, merger or transfer (if not the Company) will be bound by the provisions hereof and all obligations contained herein to be performed and observed by the Company.
