THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is entered into on October 16, 2018 and is effective as of October 16, 2018 (the “Effective Date”), by and between InnerWorkings, Inc., a Delaware corporation (the “Company”), and Ronald C. Provenzano (“Executive”). This Agreement amends and restates in its entirety the Prior Agreement (as defined below) effective as of the Effective Date.
