the provisions of this Agreement, the Related Agreements, the Spinout Agreements and the Restated Charter and to carry on its business as presently conducted and as presently proposed to be conducted. The Company is duly qualified and is authorized to do business and is in good standing as a foreign corporation in all jurisdictions in which the nature of its activities and of its properties (both owned and leased) makes such qualification necessary, except for those jurisdictions in which failure to do so would not have a material adverse effect on the assets, conditions, affairs, results of operations or prospects of the Company, financially or otherwise.

THIS INTELLECTUAL PROPERTY LICENSE AGREEMENT (this “Agreement”) is made and entered into as of the date of last signature below (the “Effective Date”), by and between Digital Turbine Media, Inc. (f/k/a Appia, Inc.), a Delaware corporation, on behalf of itself and each of its Subsidiaries, if any (“Licensor”), and Sift Media, Inc., a Delaware corporation, on behalf of itself and each of its Subsidiaries, if any (“Sift” or “Licensee”). This Publisher Agreement (this “Agreement”) is entered into as of December 28, 2015 (the “Effective Date”), by and between Digital Turbine Media, Inc. (f/k/a Appia, Inc.), a Delaware corporation (the “Company”), and Sift Media, Inc., a Delaware corporation (“Publisher”). Capitalized terms used and not otherwise defined in this Agreement shall have the respective meanings ascribed to them in that certain Intellectual Property License Agreement dated as of December 28, 2015, by and between the Company and Publisher (the “License Agreement”).
