This Change in Control and Severance Agreement (the “Agreement”) is made and entered into by and between Dr. Slim Souissi (“Executive”) and Novatel Wireless, Inc., a Delaware corporation (the “Company”), this 17th day of April, 2015 (the “Effective Date”). This Agreement supersedes and terminates that certain change of control letter agreement by and between Executive and the Company, first effective May 19, 2004, as amended (the “2004 CIC Agreement”), and that certain change of control letter agreement by and between Executive and the Company, first effective July 20, 2005, as amended (collectively, the “Prior Agreements”), as described below.
