THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is entered into on December 6, 2017 and is effective as of December 6, 2017 (the “Effective Date”), by and between InnerWorkings, Inc., a Delaware corporation (the “Company”) and Charles Hodgkins (“Executive”). This Agreement amends and restates in its entirety the Prior Agreement (as defined below) effective as of the Effective Date.
