This Contract is made between FEDERATED MANAGEMENT, a Delaware business trust having its principal place of business in Pittsburgh, Pennsylvania (hereinafter referred to as “Adviser”), and FEDERATED INCOME TRUST, a Massachusetts business trust, having its principal place of business in Pittsburgh, Pennsylvania (hereinafter referred to as the “Fund”) and is based on the following premises:

THIS AGREEMENT dated as of March 1, 2011 is made, severally and not jointly (except that the parties agree that the calculation required by Section XIII hereunder shall be joint and not several) by each of the investment companies listed on Exhibit A hereto (each, a “Trust”) and State Street Bank and Trust Company (“State Street”).

This Agreement is entered into this 1st day of June, 1992, between Federated Income Trust (the “Trust”), a Massachusetts business trust, and FEDERATED SECURITIES CORP. (“FSC”), a Pennsylvania corporation.

WHEREAS, the registered investment companies listed on Schedule 1 hereto (“Lender”) entered into the Agency Agreement for Securities Lending Transactions, dated October 4, 2004 attached as Exhibit A hereto and amended on September 1, 2005 and December 1, 2005 (the “Agreement”) with HSBC Bank USA, N.A. (“HSBC”); and
