(the “Company”) and The Dow Chemical Company (“TDCC”) have agreed that TDCC will use its reasonable best efforts to purchase additional shares of common stock of the Company, par value $0.0001 per share (“Common Stock”), on the terms and subject to the conditions set forth herein.
