THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is made the 21st day of February 2017, as revised April 4, 2018, and May 22, 2019 with obligations herein to be effective when W.E. Donoghue & Co., LLC commences provision of advisory services (on about March 1, 2017), by and between NORTHERN LIGHTS VARIABLE TRUST, a Delaware statutory trust (the “Trust”), on behalf of a portfolio to be known as the Power Dividend Index Portfolio (the “Power Dividend”) and a portfolio to be known as the Power Momentum Index Portfolio (“Power Momentum”) (collectively referred to as the “Funds”) each a series of the Trust, and the Advisor of the Funds, W.E. Donoghue & Co., LLC (the “Advisor”).

This Fund of Funds Investment Agreement (this “Agreement”), dated as of January 19, 2022 (the “Effective Date”), is made between Northern Lights Fund Trust and Northern Lights Variable Trust, on behalf of their series listed on Schedule A, severally and not jointly (each, the “Acquiring Fund”), and The Select Sector SPDR Trust, on behalf of each of its series listed on Schedule B, severally and not jointly (each, the “Acquired Fund” and together with the Acquiring Funds, the “Funds”).

THIS AGREEMENT, dated as of January 19, 2022, by and among Northern Lights Fund Trust and Northern Lights Variable Trust, each a Trust organized under the laws of the State of Delaware (the “Acquiring Management Company”), on behalf of its series identified on Schedule A, severally and not jointly (each, an “Acquiring Fund,” and collectively, the “Acquiring Funds”), and Schwab Strategic Trust, a statutory trust organized under the laws of the State of Delaware (the “Trust”), on behalf of its series identified on Schedule B, severally and not jointly (each, a “Acquired Fund” and, collectively, the “Acquired Funds”).
